Job Description: Job Title Defaulted and Distressed Transactions Services Specialist Corporate Title Vice President Location New York, Santa Ana CA, and Jacksonville, FL Overview This position is within Deutsche Bank’s US Corporate Trust business, which supports capital markets and lending transactions for companies located around the world. As a Default and Distressed Transactions Services (DDTS) specialist, you will be part of a collaborative three-person team that is the focal point for the defaulted/distressed aspects of these transactions. For each transaction, you will work with our primary account team, legal and other internal experts, and external legal counsel, all working on Deutsche Bank’s behalf. You will also interact with the other parties to the transactions to help achieve successful outcomes, serving as the “prudent person” on behalf of the end investors, while protecting Deutsche Bank’s interests. What We Offer You A diverse and inclusive environment that embraces change, innovation, and collaboration A hybrid working model, allowing for in-office / work from home flexibility, generous vacation, personal and volunteer days Employee Resource Groups support an inclusive workplace for everyone and promote community engagement Competitive compensation packages including health and wellbeing benefits, retirement savings plans, parental leave, and family building benefits Educational resources, matching gift, and volunteer programs What You’ll Do Take primary responsibility for an evolving group of defaulted or distressed transactions, including reviewing the transaction documents, and assisting DDTS colleagues on other transactions Work with obligors and creditors, and their respective advisers, as well as with the clearing systems, to assist in the development and implement of debt restructurings or liquidations and in the exercise of other post-default remedies Work with our counsel to review and negotiate terms of legal documentation to effectuate plans and to take action to protect and enforce the rights of creditors against the obligors, while ensuring actions are in line with Deutsche Bank’s policy, legal advice, and market practice Review, with our counsel, pleadings in bankruptcy and other legal proceedings and assist counsel with the preparation of pleadings we file, including calculating amounts due for proofs of claims Prepare management reports and assist with ad hoc strategic and regulatory driven projects How You’ll Lead Oversee external advisory and internal team responsible for bringing each transaction to a satisfactory conclusion Ensure that our own charges and those of our advisors are collected Identify, assess, and escalate legal, commercial, and other risks Skills You’ll Need Experience reviewing and negotiating legal documents for capital markets and/or lending transactions Team player with strong oral and written communication skills Strong organizational and prioritizing skills Self-confident self-starter that can manage projects and be assertive when necessary Skills That Will Help You Excel Experience with distressed and defaulted transactions Facility with financial analysis, bond math and data management Experience with corporate trust and agency services Familiarity with DTC (or other clearing systems/depositories) Legal experience helpful Expectations It is the Bank’s expectation that employees hired into this role will work in the New York, Santa Ana, CA or Jacksonville, FL office in accordance with the Bank’s hybrid working model. The salary range for this position in New York City is $115,000 to $185,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications.
