Vanguard’s Investment Stewardship program acts as a voice for our investors to promote strong corporate governance focused on long-term investment returns at the companies in which our funds invest. Our Investment Stewardship program is closely aligned with Vanguard’s core purpose “to take a stand for all investors, to treat them fairly, and to give them the best chance for investment success.” Our team supports this mission by engaging with executive leadership teams and boards of directors of the companies in which the Vanguard-advised funds invest, as well as voting at shareholder meetings to make sure that investors’ interests are always a priority. The role of Engagement Lead supports one of our core functions of engaging directly with the Vanguard-advised funds’ portfolio companies to promote sound corporate governance practices. Engagement Leads have the responsibility to help lead interactions with management teams and corporate boards at Vanguard’s equity portfolio companies as well as analyze and engage on issues coming to a shareholder vote. We are seeking candidates who have demonstrated exceptional executive presence, strong judgment, and analytical skills. Core responsibilities: Builds and applies subject matter expertise on corporate governance topics. Prepares for and leads engagement conversations with stakeholders from funds' portfolio companies on topics related to board composition and effectiveness, oversight of strategy and risk, executive compensation, and shareholder rights. Evaluates highly complex or contentious shareholder proposals in line with Vanguard's proxy voting guidelines and presents relevant policy-aligned voting recommendations. Reviews internal and external reporting on Vanguard's investment stewardship activities, proxy voting, and engagement to make recommendations for improvements or changes. Plays a key role in maintaining strong working relationships with business partners and vendors. Contributes relevant research and insights in support of Vanguard's global investment stewardship communication and reporting efforts. Leads projects across various divisions of the global organization to ensure that project objectives are met, and high-quality investment stewardship outcomes are delivered. Mentors and provides feedback to other crew members on application of Vanguard’s voting guidelines, engagement preparation materials or general governance topics. Participates in special projects and perform other duties as assigned. Qualifications: Excellent verbal and written communication skills Expert ability to function in a fast paced, ambiguous environment, managing multiple priorities and diverse responsibilities. Experience researching, analyzing, and making decisions on complex, multi-faceted issues preferred Experience with planning and implementing strategic products preferred Minimum of five years related work experience, investment management and/or analysis experience preferred.
