Discover what it means to work in Sanofi via this video Provide legal support and advice primarily: to the Divesture team, by performing due diligence, drafting and negotiating transactional documents, dealing with post-closing issues; to the Alliance Management team, by analyzing and interpreting the Alliance Agreements to clarify Sanofi’s rights and obligations and enforce them, through governance committees or through renegotiation with respect to Corporate matters; in order to contribute to and execute on the global strategy of CHC Corporate and Partnering activities. The position will report to the Senior Legal Director, Corporate and Partnering. The CHC Legal Team is built on the aspiration “Serve adding value as trusted partners to the business, enabling its sustainable growth, caring about our consumers and people while protecting Sanofi´s independence”. We do so by delivering qualitative and timely legal advice, optimizing processes and resources, spotting trends and shaping the external environment, leveraging on local legal teams and sharing accountability with the business for successes and failures. Key Results/accountabilities Support, advice and assist on Divestments either as lead lawyer or through liaising with Legal MA in the evaluation of new business opportunities, business acquisitions, partnerships, collaborations, and licensing by structuring, drafting and negotiating terms and final deal documents. Support, as lead lawyer, CHC Alliance Management in collaborations efforts, advise on contract interpretation issues, maintenance and performance of existing collaborations and other commercial arrangements. Provide support on company law matters related to CHC affiliates, in close cooperation with Sanofi Legal Corporate. Liaise with the relevant CHC local teams to ensure proper books and records keeping, timely execution of legal restructuring operations led by Corporate Legal, and implementation of corporate governance standards and policies. Support the management of delegations of authority / powers of attorney for CHC affiliates. Collaborate cross-functionally with members of the CHC Legal Team, Sanofi’s legal experts and other functions on corporate and partnering initiatives for the CHC GBU. Oversee outside counsel partnerships, including selecting, budgeting, managing and evaluating external counsel within the scope of your responsibilities. Assist in drafting policies and provide relevant trainings.
